Acceptance of Terms and Conditions

TicketWavePH, a division of TicketWave Co. Ltd. ("TicketWavePH," "we," "us," or "our"), is the sole proprietor of the website www.TicketWavePH.com, its mobile and touch versions, and any future sites referencing these Terms of Use (collectively, the "Site"). By (a) accessing the Site and utilizing TicketWavePH's services through it, (b) registering for an account, and/or (c) completing a transaction on the Site, you hereby consent to these Terms of Use (defined below) and any supplementary terms applicable to specific programs you may opt to engage in. You also acknowledge and agree to adhere to our Privacy Policy, as outlined in our Privacy Statement, incorporated herein by reference, and accessible within our Privacy Policy ("Privacy Statement"). Furthermore, you affirm that you will routinely review the Terms of Use to stay informed about any updates. The Privacy Statement, in conjunction with these Terms of Use and any other terms herein or referenced herein, collectively form the "Terms of Use." The term "using" encompasses any individual or entity accessing or utilizing the Site via crawlers, robots, data mining, or extraction tools, or any other mechanism.

IF YOU DO NOT ACCEPT THESE TERMS OF USE, PLEASE CEASE USING THE SITE IMMEDIATELY AND REFRAIN FROM UTILIZING ANY TICKETWAVEPH SERVICES, PARTICIPATING IN ANY PROGRAMS, OR MAKING ANY PURCHASES OF VOUCHERS, PRODUCTS, OR OTHER GOODS OR SERVICES OFFERED VIA THE SITE.

WE STRONGLY ENCOURAGE YOU TO THOROUGHLY REVIEW THE FOLLOWING SECTIONS OF THESE TERMS OF USE: (A) DISPUTE RESOLUTION/ARBITRATION AGREEMENT, INCLUDING THE CLASS ACTION WAIVER DESCRIBED THEREIN, (B) LIMITATION OF LIABILITY, AND (C) INDEMNIFICATION/ RELEASE.

1. Service fees and processing fees associated with ticket purchases

   1. Vouchers for goods, services, or experiences;

   2. Getaways and travel-related products;

   3. Merchant Gift Cards;

   4. Direct sales of Merchant Products;

   5. Coupons, promotional codes, giveaways, samples, and software download offers;

   6. Reservations for dining experiences at specific dates and times;

   7. Online Ordering for food, beverage, and other products for delivery or takeout;

   8. Special offers, including "card-linked deals" (as defined in the Special Programs section of the Terms of Use);

   9. Booking services to schedule the use of vouchers on specific dates and times (collectively referred to as "Merchant Offerings"). Merchants are responsible for the sale, issuance, and fulfillment of Merchant Offerings and are accountable to users for the quality, care, and delivery of goods and services provided.

   Please note that certain Merchant Offerings, Products, and available programs, as well as pricing, may be subject to change at any time at TicketWavePH's discretion without prior notice.

2. Ownership of the Site

   TicketWavePH, along with its affiliates, Merchants, and other content providers, retains ownership of the Site, its content, and the underlying infrastructure utilized to deliver the Site. By accessing the Site and agreeing to these Terms of Use, you acknowledge and accept the following:

   1. TicketWavePH grants you a limited, personal, non-transferable, non-exclusive, and revocable license to use the Site in accordance with these Terms of Use and any additional terms and policies stipulated by TicketWavePH;

   2. You agree not to reproduce, distribute, create derivative works from, publicly display, publicly perform, license, sell, or re-sell any content, software, products, or services obtained from or through the Site without the explicit permission of TicketWavePH.

3. Use of the Site

   By accessing and using the TicketWavePH Site, you agree to the following terms:

   • You affirm that you have reached the age of majority in your respective state or province.

   • You are capable of entering into a legally binding agreement.

   • You are not prohibited by law from receiving products or services.

   • You will refrain from using the Site with crawlers, robots, data mining, or extraction tools or any similar functionality.

   • Your usage of the Site will consistently adhere to these Terms of Use.

   • You will only engage in legitimate purchases that align with the terms outlined in the respective offers.

   • Purchases made on the Site are for your personal use, enjoyment, or as gifts for others.

   • You possess the rightful authority to provide all information submitted to the Site, ensuring it is accurate, up-to-date, and complete.

   • It is your responsibility to maintain the accuracy of all submitted information, including account details, ensuring they remain current (failure to update outdated information may result in account invalidation).

   • Any purchase of a Merchant Offering, Product, or participation in other available programs through the Site must be made by creating an account or utilizing the guest checkout feature, and all purchases are subject to the applicable Terms of Sale outlined in these Terms of Use.

4. Access to the Site

   TicketWavePH reserves the sole discretion to deny service or access to the Site or an account to any individual at any time and for any reason. While reasonable efforts are made to maintain accessibility to the Site and your account, there may be instances where the Site and/or your account are temporarily unavailable. You acknowledge and accept that interruptions in service or events affecting Site access or your account may occur due to factors within TicketWavePH's control (e.g., routine maintenance) or beyond its control.

5. Modification

   We retain the right to discontinue or modify any part of these Terms of Use at any time at our sole discretion. Changes that impact your use of the Site or our services will be communicated by posting notice on the Terms of Use page. Any modifications to these Terms of Use will become effective upon posting the notice, with changes being prospective and not retroactive. If you disagree with the changes, you may opt to close your account and refrain from using the Site or any services offered through it after the effective date of the modifications. We recommend reviewing our Terms of Use periodically to stay informed of any revisions. Your continued use of the Site or our services post-change notice constitutes acceptance of the modified Terms of Use.

6. Your Account

   You may only create and maintain one account on the TicketWavePH Site for personal use, and registration must be completed using a valid credit card.

   • (a) manage your personal information, including but not limited to a valid credit card; and
   • (b) opt-in or out of persistent login features.

   You are responsible for ensuring the accuracy and updating of information provided during account creation or maintenance.

   Within your account settings, you have the ability to:

   • TicketWavePH holds no responsibility for incidents arising from or related to your account settings.
   • It is your obligation to safeguard your password and oversee account usage.
   • You are solely accountable for maintaining account security and adjusting settings to reflect your preferences. Any activity conducted on the Site or transactions made through your account will be assumed to be performed by you.
   • The Site may offer a guest checkout feature, allowing purchases without account creation or login. If you utilize this feature and do not possess an existing account, TicketWavePH will create one based on the provided transaction details (e.g., name, address, email). You can subsequently claim this account by establishing a password.

7. Your Conduct

   All interactions on the TicketWavePH Site must adhere to these Terms of Use. Any conduct that, in our sole discretion, hinders another user's enjoyment or usage of any part of the Site may result in limitations or termination of your Site privileges, as well as other remedies such as account cancellation or forfeiture of unredeemed value.

   • Submitting content that violates applicable laws, contains viruses, impersonates others, or engages in fraud.
   • Attempting unauthorized access, scanning, monitoring, or interfering with Site security or functionality.
   • Using frames or Site content for unauthorized purposes, including advertising or solicitation.
   • Collecting Site content or personal information without permission.

   The following activities are strictly prohibited on the Site and constitute violations of these Terms of Use:

   • Engaging in tampering, reselling, excessive purchasing, or illegal actions against TicketWavePH's interests or reputation.

8. Your Privacy

   We prioritize the privacy of your Personal Information (as defined in the Privacy Statement). We encourage you to thoroughly review our Privacy Statement for essential disclosures regarding the collection, usage, and sharing of personal data, as well as your privacy choices. Our Privacy Statement is integral to and governed by our Terms and Conditions.

9. Copyright

   The TicketWavePH Site includes copyrighted material, trademarks, and other proprietary information, such as text, software, photos, video, graphics, music, and sound. The entire content of the Site is safeguarded by copyright, trademark, and other intellectual property laws. TicketWavePH holds a copyright in the selection, coordination, arrangement, and enhancement of such content, as well as in the original content.

   • You are prohibited from modifying, distributing, publishing, transmitting, publicly displaying, creating derivative works from, or exploiting any of the content, whether in whole or in part.
   • Unless expressly stated under copyright law, downloading, copying, redistributing, retransmitting, publishing, or commercially exploiting the content without the explicit permission of TicketWavePH or the copyright owner is prohibited.
   • If permitted to download, copy, redistribute, retransmit, or publish copyrighted material, you must provide independent attribution and refrain from altering or deleting any author attribution, trademark legend, or copyright notice. By downloading copyrighted material, you acknowledge that you do not acquire any ownership rights.
   • Violating these restrictions may result in copyright, trademark, or other intellectual property infringement, subjecting you to civil and/or criminal penalties.

   Marks on the Site not owned by TicketWavePH may be licensed from the respective trademark owner, in which case such license is solely for the benefit and use of TicketWavePH unless otherwise indicated. You are prohibited from using TicketWavePH's name, logos, trademarks, or brands, or trademarks or brands of others on the Site without TicketWavePH's express consent.

10. User Content

    The TicketWavePH Site offers registered users and visitors various opportunities to submit or post reviews, opinions, advice, ratings, discussions, comments, messages, survey responses, and other communications, as well as files, images, photographs, video, sound recordings, musical works, and any other content or material (collectively, "User Content") through various communication facilities provided on or in connection with the Site. You may be required to have a TicketWavePH account to submit User Content.

    • The review reward can be earned once per merchant per user. If you contribute any User Content, you may not upload, post, or make available on the Site any material protected by copyright, trademark, or other proprietary right without the express permission of the owner.
    • TicketWavePH does not have a duty to provide indications or markings to assist you in determining whether the material is copyrighted or trademarked. You will be solely responsible for any damage resulting from infringement of copyrights, trademarks, proprietary rights, or other harm resulting from such a submission.

    Furthermore, if you contribute User Content, you represent and warrant that:

    1. You are the creator of the User Content, or if acting on behalf of the creator, you have explicit, advance authority from the creator to submit or post the User Content, and they have waived any moral rights in such User Content, and you have all rights necessary to grant the licenses and grants specified in these Terms of Use.
    2. The use and sharing of the User Content for the chosen purposes will not violate or infringe any copyrights, trademarks, or any other intellectual property rights or rights of third parties, including rights of publicity or privacy.
    3. You will not upload, post, transmit, or make available User Content that is unlawful, harmful, threatening, abusive, harassing, hateful, racist, infringing, pornographic, obscene, violent, misleading, defamatory, invasive of privacy, or violative of any third-party rights. Additionally, you will not upload, post, transmit, or make available User Content containing viruses, malware, or any other computer codes designed to intercept, misappropriate, interrupt, destroy, or limit the functionality of any software or computer equipment.

    TicketWavePH reserves the right, but not the obligation, to review, edit, post, refuse to post, remove, monitor, and disclose User Content and its transmission circumstances to third-parties at any time and for any reason, to ensure compliance with these Terms of Use and any operating rules established by TicketWavePH. TicketWavePH has no liability for any User Content or other information that appears or is removed from the Site. TicketWavePH is not obligated to use User Content and may choose not to use it at all.

    You understand and agree that User Content is public, and any person may read it without your knowledge. Please refrain from including any Personal Information in your User Content unless you intend for it to be publicly disclosed. TicketWavePH is not responsible for the use or disclosure of any Personal Information you disclose in connection with User Content.

    User Content is authored by respective contributors and not by TicketWavePH. Other users may post User Content that is inaccurate, misleading, or deceptive. TicketWavePH does not endorse and is not responsible for any User Content, and will not be liable for any loss or damage caused by your reliance on such User Content. User Content reflects the opinions of the submitter and may not reflect TicketWavePH's opinion. TicketWavePH does not control or endorse any User Content and disclaims any liability concerning or relating to your contribution, use, or reliance on User Content and any actions resulting from your participation on the Site, including any objectionable User Content.

    10. User Content: License Grants

    By submitting User Content to TicketWavePH, you grant TicketWavePH a royalty-free, perpetual, irrevocable, sublicensable, fully paid-up, non-exclusive, transferrable, worldwide license and right to use, display, and distribute any Personal Information in connection with your User Content according to these Terms of Use. This includes the right to offer for sale and sell such rights in Personal Information, whether the User Content appears alone or as part of other works, and in any form, media, or technology, now known or developed in the future, and to sublicense such rights through multiple tiers of sublicensees, without compensation to you. However, TicketWavePH has no obligation to use your Personal Information in connection with any User Content.

    You retain all ownership rights in and to the User Content you submit or post. By contributing User Content or other information on the Site, you grant TicketWavePH a royalty-free, perpetual, irrevocable, sublicensable, fully paid-up, non-exclusive, transferrable, worldwide right and license to use, reproduce, create derivative works, publish, edit, translate, distribute, perform, display, transmit, offer for sale, and sell the User Content, alone or as part of other works, in any form, media, or technology, now known or developed in the future. You waive any moral rights or other rights regarding attribution of authorship or integrity of materials regarding the User Content under any applicable law. TicketWavePH’s license in any User Content or Personal Information you submit includes, without limitation, use for promotions, advertising, marketing, market research, merchant feedback, quality control, or any other lawful purpose.

    As detailed in Section 3, the submission of User Content or other information on the Site is limited to individuals who are of legal age in their respective state or province. The Site is intended for adults. By contributing User Content, you affirm that you are of legal age in your state or province. TicketWavePH will promptly delete User Content or other content associated with any account of a registered user who is not of legal age.

11. Unsolicited Ideas

    Acceptance of Terms and Conditions

    We do not accept or consider unsolicited ideas of any kind, including suggestions for new products, enhancements, marketing campaigns, or other promotions, whether submitted directly or through any TicketWavePH employee or agent. Please refrain from sending us any unsolicited ideas, suggestions, materials, images, or other works ("Unsolicited Materials"). By sending Unsolicited Materials, you agree to the following terms:

    1. TicketWavePH has no obligation to review or keep any Unsolicited Materials confidential.
    2. TicketWavePH may use and redistribute Unsolicited Materials for any purpose without restriction and without acknowledging or compensating you.

12. Disclaimer of Warranty

    YOUR USE OF THE SITE IS AT YOUR SOLE RISK. TicketWavePH, ITS SUBSIDIARIES, AFFILIATES, EMPLOYEES, AGENTS, MERCHANTS, THIRD-PARTY CONTENT PROVIDERS, OR LICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, VIRUS-FREE, OR ERROR-FREE. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF THE CONTENT, USER CONTENT, OR OTHER INFORMATION ON THE SITE, INCLUDING MERCHANT OFFERINGS, PRODUCTS, OR OTHER PROGRAMS. THE SITE AND ALL CONTENT, USER CONTENT, AND OTHER INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

13. Limitation of Liability

    IN NO EVENT SHALL TicketWavePH, ITS SUBSIDIARIES, AFFILIATES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS, MERCHANTS, PARTNERS, THIRD-PARTY CONTENT PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR IN CONNECTION WITH THESE TERMS OF USE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS OR LOST BUSINESS DAMAGES. OUR LIABILITY, IF ANY, SHALL NOT EXCEED THE AMOUNTS PAID FOR THE APPLICABLE VOUCHER, PRODUCT, OR SERVICE.

14. Electronic Communications

    By using the Site or sending emails to TicketWavePH, you consent to receive electronic communications related to your use of the Site. We may communicate with you via email or by posting notices on the Site. All agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.

15. Website of Others

    The Site may contain links to websites maintained by other parties for your convenience. We do not endorse the content or accuracy of materials on such websites or the privacy practices of those websites. Accessing linked websites is at your own risk, and we are not responsible for any damage, loss, or liability resulting from your use of such linked sites or resources.

16. Indemnification/Release

    Acceptance of Terms and Conditions

    You agree to defend, indemnify, and hold harmless TicketWavePH, its subsidiaries, affiliates, and their respective directors, officers, employees, and agents from any claims or expenses arising from your User Content, fraud, intentional misconduct, gross negligence, or violation of applicable laws or third-party rights. You release TicketWavePH from any claims or liability related to Merchant products or services or your interactions with other users of the Site.

17. Force Majeure

    TicketWavePH shall not be liable for any failure or delay in performance due to events beyond our control, including weather conditions, acts of God, terrorism, strikes, or computer system failures.

18. Assignment

    You may not assign these Terms of Use without our written consent. TicketWavePH may assign these Terms of Use to a third-party at its discretion.

19. Entire Agreement

    These Terms of Use, along with other incorporated terms, constitute the entire agreement between you and TicketWavePH regarding the Site and supersede all prior communications and proposals.
